Acceptance of terms

By accessing our website or engaging Naef & Co. for services, you agree to these Terms & Conditions. If you do not agree, please do not use the website or our services. If you are entering into these terms on behalf of an organization, you represent that you are authorized to do so.

About Naef & Co.

Naef & Co. is a Nevada-based firm providing electrical and IT infrastructure engineering services and procurement and acquisition support to federal agencies and prime contractors. Our website provides general information about our services and is not an offer or guarantee of any specific result.

Engagements & scope

Services are provided under a separate written agreement, statement of work, purchase order, or contract (an “Engagement Agreement”) that defines the specific scope, deliverables, schedule, and fees. In the event of a conflict between these Terms and an executed Engagement Agreement, the Engagement Agreement controls for that engagement.

Contacting us or submitting the website form does not create a contract or client relationship; a binding engagement begins only when a written Engagement Agreement is executed.

Fees, billing & payment

Fees are as stated in the applicable Engagement Agreement or invoice. Unless otherwise agreed, invoices are due on receipt. Payments are processed through our payment processor, Stripe, and by paying you authorize us and Stripe to charge the payment method you provide. You are responsible for any taxes associated with your purchase other than taxes based on our net income. Late or unpaid amounts may be subject to suspension of services and reasonable collection costs as permitted by law.

Refunds, cancellation & disputes

Refunds, cancellations, and billing disputes are governed by the policies published on our website and by the applicable Engagement Agreement. In summary: fees are charged for services performed; confirmed billing errors are refunded or credited; engagements may be cancelled in writing subject to the applicable notice period, with fees owed for work performed through the cancellation date. Please contact us to resolve any billing concern before initiating a chargeback. See our published policies for full details.

Intellectual property

The website and its content, including text, layout, and marks, are owned by Naef & Co. and protected by applicable law; you may not reproduce them without permission. Ownership of deliverables produced during an engagement is governed by the applicable Engagement Agreement. Absent a written assignment, we retain ownership of our pre-existing materials, methodologies, and know-how.

Confidentiality

Each party may receive confidential information from the other in the course of an engagement. Each party agrees to protect the other’s confidential information and to use it only as necessary to perform under the applicable Engagement Agreement, subject to the more specific confidentiality and security terms of that agreement and to applicable law.

Export control & compliance

Our services are offered within the United States to eligible clients. Certain engineering technical data and services may be subject to U.S. export controls, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You agree to comply with all applicable export control and sanctions laws, and you agree that controlled technical data will not be exported, released, or transferred to foreign persons or destinations without required U.S. Government authorization.

Disclaimers

Services are performed in a professional and workmanlike manner consistent with applicable industry standards and the applicable Engagement Agreement. Except as expressly stated in a written agreement, our services and this website are provided “as is,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law. Website content is general information and not professional advice for any specific project.

Limitation of liability

To the fullest extent permitted by law, Naef & Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to the website or our services. Except as otherwise set out in an Engagement Agreement, our total liability for any claim will not exceed the amounts you paid to us for the services giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Naef & Co. and its personnel from third-party claims, losses, and reasonable expenses arising from your breach of these terms, your misuse of the website, or your violation of applicable law, except to the extent caused by our own negligence or willful misconduct.

Third-party services

We use third-party services, including Stripe for payment processing. Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for third-party services. See the Stripe terms and Stripe Privacy Policy for details relating to payments.

Governing law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. The state and federal courts located in Nevada will have jurisdiction over any dispute not otherwise subject to an agreed dispute-resolution process in an Engagement Agreement, and you consent to venue there.

Changes to these terms

We may update these Terms from time to time. The “Last updated” date above reflects the current version, and changes take effect when posted. Your continued use of the website or our services after changes are posted constitutes acceptance of the updated Terms.
